A free audit is provided for informational purposes and does not constitute a guarantee of specific business, traffic, ranking, lead, revenue, or other results.
We reserve the right to determine the scope and availability of free audits.
4. Consultations and Proposals
Submitting an inquiry or scheduling a consultation does not create a client relationship or guarantee that HVAC Web Design Lab will provide services.
Before beginning a paid project, we may provide a proposal, quotation, statement of work, agreement, invoice, or other documentation describing:
- Services
- Deliverables
- Project scope
- Timeline
- Fees
- Payment requirements
- Revisions
- Client responsibilities
- Other project-specific terms
A project becomes binding when the applicable proposal, agreement, or payment arrangement has been accepted by both parties.
5. Project Scope
We provide services according to the scope agreed upon with the client.
Requests that fall outside the original scope may be treated as additional work and may require:
- Additional fees
- Additional time
- A revised project scope
- A separate agreement
Examples of potentially additional work may include substantial design changes, additional pages, new functionality, third-party integrations, custom development, extensive content creation, or changes requested after approval.
We will communicate additional scope and applicable charges before proceeding whenever reasonably practical.
6. Client Responsibilities
Clients are responsible for providing accurate and timely information required to complete a project.
This may include:
- Business information
- Company logo and branding assets
- Service information
- Contact information
- Business address and service areas
- Images and other media
- Website and hosting access
- Domain access where required
- Third-party account access where required
- Content and other project materials
Clients are responsible for ensuring that information and materials they provide are accurate, lawful, and suitable for use.
Delays in providing required information, approvals, credentials, or materials may affect the project timeline.
7. Client-Provided Content and Materials
You retain ownership of content and materials that you provide to us, subject to any rights belonging to third parties.
By providing materials to HVAC Web Design Lab, you represent that you have the necessary rights, permissions, licenses, or authority to allow us to use those materials for the project.
This may include:
- Logos
- Photographs
- Videos
- Written content
- Business information
- Product or service information
- Testimonials
- Brand assets
You are responsible for claims, representations, and intellectual property rights associated with materials you provide.
8. Website Content
Depending on the agreed scope, HVAC Web Design Lab may create, edit, restructure, or implement website content.
Unless otherwise agreed, clients are responsible for reviewing and approving final content before publication.
Clients should verify important business information, including:
- Phone numbers

- Service descriptions
- Business hours
- Legal statements
- Licenses
- Certifications
- Claims about products or services
HVAC Web Design Lab is not responsible for inaccuracies in client-approved information.
9. Design Revisions and Approvals
The number of revisions included in a project will depend on the applicable package, proposal, or agreement.
A revision means a reasonable modification to an existing design or deliverable.
Requests for a substantially different design, new functionality, additional pages, or changes outside the agreed scope may be considered additional work.
Once a client approves a design or deliverable, subsequent changes may be subject to additional fees.
10. Website Development and Third-Party Services
Websites may rely on third-party services, software, plugins, themes, APIs, hosting providers, payment processors, analytics platforms, CRM systems, scheduling tools, or other technologies.
Examples may include:
- WordPress
- Elementor
- Hosting providers
- Google services
- Calendly
- GoHighLevel
- Email platforms
- Analytics platforms
- Third-party APIs
- WordPress plugins and themes
Third-party services are governed by their own terms, licenses, availability, and policies.
We do not guarantee that third-party services will always remain available, compatible, secure, supported, or unchanged.
If a third-party service changes, becomes unavailable, changes its pricing, discontinues functionality, or introduces compatibility issues, additional work may be required.
11. Domain and Hosting
Unless specifically included in a project agreement, domain registration and hosting fees are separate from our service fees.
Clients are generally responsible for maintaining ownership and payment of their:
- Domain name
- Hosting account
- Email accounts
- Third-party subscriptions
- Premium plugins
- Premium themes
- Software licenses
- Other third-party services
Where we manage or assist with these services, the applicable responsibilities and fees will be agreed upon separately.
12. SEO Services
Our SEO services may include activities such as:
- On-page SEO
- Keyword research
- Metadata
- Internal linking
- Local SEO optimization
- Technical SEO recommendations
- Content structure
- Schema implementation
- Search Console setup
- Google Business Profile-related guidance
- Website SEO improvements
SEO performance depends on many factors outside our control.
Therefore, HVAC Web Design Lab does not guarantee specific search rankings, traffic levels, leads, calls, revenue, or placement in search results.
Search engines may change their algorithms, policies, indexing systems, ranking systems, or other technologies at any time.
13. No Guaranteed Business Results
Our services are designed to improve a website’s presentation, usability, technical foundation, search visibility, and conversion opportunities.
However, we do not guarantee:
- A specific number of leads
- A specific number of phone calls
- Specific revenue
- Specific search rankings
- A specific amount of website traffic
- Google Business Profile rankings
- Search engine inclusion
- Conversion rates
- Advertising performance
- Business growth
- A particular return on investment
Results vary depending on many factors, including competition, market conditions, pricing, reputation, customer demand, advertising, sales processes, business operations, and factors outside our control.
14. AI-Assisted Tools and Technologies
We may use software, automation, artificial intelligence, or other technology to assist with certain aspects of our services, including research, content development, analysis, design workflows, or technical tasks.
Where applicable, AI-assisted output may be reviewed and edited before delivery.
Clients remain responsible for reviewing and approving business-specific information, claims, legal statements, and other important content before publication.
15. Payments and Fees
Project fees, payment schedules, deposits, milestones, and other payment terms will be specified in the applicable proposal, invoice, or agreement.
Unless otherwise agreed in writing:
- Work may begin after the required initial payment has been received.
- Additional work may require additional payment.
- Third-party costs are generally the client’s responsibility.
- Outstanding invoices may result in suspension of work or services.
All fees are subject to the payment terms agreed upon for the specific project.
16. Late or Failed Payments
If a payment is overdue, HVAC Web Design Lab may pause project work or services until the outstanding balance is resolved.
We may also delay delivery of final files, credentials, website transfers, or other deliverables until applicable outstanding amounts have been paid.
Any additional consequences or fees will be governed by the applicable project agreement or invoice.
17. Cancellation and Termination
Either party may terminate a project or service relationship according to the terms of the applicable agreement.
If a client cancels a project after work has begun, the client may be responsible for payment for work already completed, approved expenses, third-party costs, and other non-refundable amounts specified in the applicable agreement.
We may terminate or suspend services where reasonably necessary due to:
- Non-payment
- Repeated failure to provide required information
- Abusive or unlawful conduct
- Security concerns
- Material breach of an agreement
- Other circumstances specified in the applicable agreement
Specific cancellation and refund terms may vary by project and will be stated in the relevant proposal or agreement.
18. Refunds
Refund eligibility depends on the service purchased and the terms agreed upon before work begins.
Because website design and digital services involve time, development work, research, configuration, and customized deliverables, payments for work already completed may not be refundable unless otherwise agreed in writing or required by applicable law.
Any project-specific refund policy takes precedence over this general provision where applicable.
19. Intellectual Property
Unless otherwise agreed in writing, HVAC Web Design Lab retains ownership of its pre-existing:
- Design systems
- Templates
- Frameworks
- Processes
- Code libraries
- Internal tools
- Documentation
- Business methodologies
- Reusable components
Client-specific final deliverables may be transferred to the client according to the applicable project agreement and after required payments have been completed.
Third-party software, themes, plugins, fonts, images, stock assets, APIs, and other licensed materials remain subject to their respective licenses.
20. Portfolio and Marketing Use
Unless otherwise agreed in writing, HVAC Web Design Lab may display completed client websites or project work in our portfolio, website, social media, presentations, or marketing materials.
This may include:
- Screenshots
- Website links
- Business name
- General project description
- Before-and-after examples
If a client requires a project to remain confidential or does not want their website displayed publicly, that arrangement should be agreed upon in writing.
21. Copyright and Website Content
The content, design, branding, graphics, text, structure, and other materials on the HVAC Web Design Lab Website are protected by applicable intellectual property laws unless otherwise indicated.
You may not reproduce, redistribute, modify, republish, sell, or commercially exploit substantial portions of our Website or materials without prior written permission.
Limited personal or business reference to our publicly available content is permitted where it does not imply ownership or endorsement.
22. Third-Party Intellectual Property
We respect the intellectual property rights of third parties.
Clients are responsible for ensuring that materials they provide to us do not infringe another person’s or organization’s intellectual property rights.
Where third-party assets are used in a project, their use may be subject to applicable licenses or restrictions.
23. Website Availability
We aim to keep our Website available and functional, but we do not guarantee uninterrupted or error-free availability.
The Website may occasionally be unavailable because of:

Your use of third-party services is governed by the applicable third party’s terms and policies.
25. Disclaimer
The information provided on our Website, including articles, resources, guides, recommendations, audits, and other educational materials, is provided for general informational purposes.
Nothing on the Website should be interpreted as a guarantee of a particular business, SEO, marketing, financial, legal, or other outcome.
Business results depend on circumstances specific to each business.
26. Limitation of Liability

27. Indemnification
To the extent permitted by applicable law, you agree to indemnify and hold harmless HVAC Web Design Lab and its representatives from claims, losses, liabilities, damages, costs, and expenses arising from:
- Your misuse of the Website
- Your violation of these Terms
- Your violation of applicable law
- Materials you provide to us
- Your infringement of third-party rights
- Information or claims supplied by you for publication
- Your violation of third-party terms or licenses
This provision does not apply to the extent a claim results from our own unlawful conduct or obligations that cannot legally be transferred to you.
28. Force Majeure
We will not be responsible for delays or failures caused by circumstances beyond our reasonable control.
Such circumstances may include:
- Natural disasters
- Internet or infrastructure failures
- Hosting outages

Your continued use of the Website after updated Terms are posted constitutes acceptance of the updated Terms to the extent permitted by applicable law.
Project-specific agreements may contain additional terms that take precedence over these general Website Terms where applicable.
30. Governing Law
These Terms will be governed by and interpreted according to the laws applicable to HVAC Web Design Lab and the specific contractual relationship with the client, unless otherwise required by applicable law or agreed in a separate written agreement.
For client projects, the applicable proposal or service agreement may specify the governing law and dispute-resolution process.
31. Severability
If any provision of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.
32. Entire Agreement
These Terms govern general use of the Website.
For paid services, the applicable proposal, statement of work, service agreement, invoice, or other written agreement may contain additional terms specific to that project.
If there is a conflict between these general Website Terms and a specific written client agreement, the specific client agreement will generally control for that project.
